TMA Exchange Terms of Use
Thanks for your interest in joining the TMA Exchange (TMAE), an email forum which is made available at no-cost by Alt Legal, Inc (“we”/“us”/“our”). Please review these terms of use and Privacy Policy (together with such terms of use, the “Terms”) before enrolling and participating in the TMA Exchange.
The TMA Exchange is for trademark paralegals, docketers, legal secretaries, and other administrators. The TMAE is a place for respectful conversation, helpful resources, and community bonding. Solicitations, pitches, and trolling are strictly prohibited. Posting mean, rude, discriminatory, intolerant, or otherwise disrespectful comments will result in your being removed from this group. Together we’ll make TMAE a space where TMAs can thrive through respectful conversation, helpful resources, and community bonding.
Eligibility to Use the TMA Exchange
To access or use the TMA Exchange, you must be at least 16 years of age and a trademark paralegal, docketer, legal secretary, or other administrator or other individual approved by us. Except as set forth below, or as otherwise approved by us, the TMA Exchange is for your personal, non-commercial use unless you enter into a separate agreement with us for your commercial use.
We will use your personal information, such as email address and contact information, as necessary to provide access to the TMA Exchange, send emails and updates about the TMA Exchange or us, and provide you with relevant connections and content based on this information and your use of the TMA Exchange. You can unsubscribe at any time by using the unsubscribe option in any email or by emailing us at the address(es) listed at the end of these Terms.
Privacy
Any information that you provide us is subject to our Privacy Policy, which governs our collection and use of your information. You understand that through your use of the TMA Exchange you consent to the collection and use (as set forth in the Privacy Policy) of this information, including the transfer of this information to the United States and/or other countries for storage, processing and use by us. As part of participating in the TMA Exchange, we may need to provide you with certain communications, including service announcements and administrative messages.
Limitation of Liability
By participating in the TMA Exchange, you have knowingly and voluntarily assumed any risks from participating in an email forum like the TMAE and any online or in-person networking events we host. We assume no responsibility for unintended, objectionable, inaccurate, misleading, or unlawful content made available by users. We are not liable or responsible for the actions of any user of the TMA Exchange. All views shared by users of the TMA Exchange are their own, and we do not enforce or accept any responsibility or liability for any advice or recommendations given or expressed by users of the TMA Exchange or for links or contributions by third parties provided by users of the TMA Exchange. We make no guarantees about the accuracy, currency, suitability, reliability, or quality of the information in such content available on the TMA Exchange nor are we responsible for the content of any linked site or any links contained within those linked sites.
THE TMA EXCHANGE IS PROVIDED “AS IS,” WITHOUT EXPRESS OR IMPLIED WARRANTY OR CONDITION OF ANY KIND. EXCEPT AS LEGALLY PROHIBITED, YOU AGREE THAT REGARDLESS OF LEGAL THEORY, EVEN IF WE HAVE BEEN WARNED OF SUCH DAMAGES, AND IN CASES OF CLAIMS BASED ON NEGLIGENCE OR STRICT LIABILITY, WE WILL NOT BE WILL NOT BE LIABLE FOR ANY SPECIAL, INDIRECT, INCIDENTAL, PUNITIVE, CONSEQUENTIAL, UNFORESEEN DAMAGES, LOSSES OF BUSINESS, PROFITS, OR OTHERWISE, EXPENSES, INCLUDING ATTORNEYS’ FEES RELATING TO THIS AGREEMENT. AUTHORIZED USERS AGREE TO WAIVE ALL RIGHTS TO INTERPOSE ANY CLAIMS, DEDUCTIONS, SETOFFS, OR COUNTERCLAIMS OF ANY NATURE (OTHER THAN COMPULSORY COUNTERCLAIMS) IN ANY ACTION OR PROCEEDING WITH RESPECT TO THIS AGREEMENT OR ANY MATTER ARISING THEREFROM OR RELATING HERETO OR THERETO.
Intellectual Property
The TMA Exchange, features, functionality, trademarks, and the “look and feel” of the TMA Exchange are owned by Alt Legal, Inc. and are protected by United States and international intellectual property, property, and trade secret laws. You agree not to remove any intellectual property or republish, publicly display, or exploit any of our protected materials. By providing comments, suggestions, or changes to the TMA Exchange, you agree to grant Alt Legal, Inc., a non-exclusive, royalty-free, worldwide, transferable, sub-licensable, irrevocable, and perpetual license to use them or to incorporate them into the TMA Exchange. Additionally, by posting to the TMA Exchange, you grant us and the users of the TMA Exchange, the nonexclusive, unrestricted, royalty-free right and license to display, copy, publish, distribute, transmit, print, and use such information or other material.
Restrictions on Use
You cannot harvest, gather, or share private information from the account using manual or automated means or do anything that would compromise the security of the TMA Exchange. You agree that you will not send messages in violation of the USA CAN-SPAM Act or any other applicable anti-spam law. All intellectual property rights to the content and all materials distributed by users on the TMA Exchange are owned by the individual rights holder. You agree not to reproduce, modify, distribute, license, publish, create, or derive works from any such content or materials for any reason without our prior written permission or the prior written permission of the contributor on the TMA Exchange.
Modifications
We reserve the right to amend these Terms from time to time. You can see the date of our last change to these Terms at the top of this page. Any updates will be made available here and will be effective immediately. Continued use of the TMA Exchange following any modification constitutes your acceptance of the modification.
Digital Millennium Copyright Act
We abide by the federal Digital Millennium Copyright Act (DMCA) by responding to notices of alleged infringement that comply with the DMCA and other applicable laws. As part of our response, we may remove or disable access to material on the TMA Exchange that is claimed to be infringing, in which case, we will make a good-faith attempt to contact the person who provided the material so they may make a counter notification in accordance with the DMCA. By posting to the TMA Exchange, you agree that you own the copyright to such materials or have permission from the copyright owner.
If you wish to claim that material on the TMA Exchange infringes on the copyrighted work, you must provide a notice of alleged infringement that (a) identifies in sufficient detail the copyright work that you believe has been infringed; (b) an electronic or physical signature of the copyright owner or person allowed to act on the owner’s behalf along with a statement by such person that they have a good faith belief that the alleged use was unauthorized; (c) statement that the information contained in the request is accurate and an attestation under penalty of perjury that the requesting party is the copyright owner or authorized agent; and (d) the copyright owner’s or authorized agent’s name, address, telephone, and email address. These notices should be emailed to legal <at> altlegal.com.
Termination
We reserve the right to (i) terminate access to any user who does not abide by these Terms (in our sole discretion); (ii) remove or refuse to distribute any content on TMA Exchange, and (iii) exercise our discretion to modify or otherwise revise these Terms from time to time, upon issuing timely notice to users of any changes. You may deactivate your account at any time by sending a request to bri<at>altlegal.com, and we will deactivate your accounts at the earliest possible time. You do not need to specifically inform us when you stop using TMA Exchange, but if you stop using the TMAE without deactivating your account, your account may be deactivated due to prolonged inactivity. We may cease to provide the TMA Exchange as a whole or to any individual participant at any time for any reason at our sole discretion.
Choice of Law and Venue
The laws of the State of New York will govern these Terms without giving effect to conflict of law principles or the location of the user, and you agree to submit to the exclusive jurisdiction and venue of the federal and state courts in New York, New York.
Notices
If we need to provide you with information about something, whether for legal, marketing or other business related purposes, we will select what we believe is the best way to get in contact with you. We will usually do this through email or by placing a notice on our website. The fact that we may send notices to you will not stop you from being able to opt out of certain types of contact as described in the Privacy Policy.
